Data Licence Agreement

1. Introduction

This Data Licence Agreement ("Licence") is entered into between Demeter Publishing Limited ("Demeter") and Customer, as defined in the associated Order Form.

 

This Licence governs Customer's rights to access and use the Demeter datasets made available through the platform.

2. Licence Grant

Demeter grants Customer a non-exclusive, non-transferable, non-sublicensable licence to access and use the datasets specified in the applicable Order Form, or otherwise made available through redemption of research credits, for Customer's internal business purposes.

 

Where platform functionality permits, Customer may download datasets for internal use.

 

3. Use Restrictions

3.1. Use: Customer may not sublicence, distribute or resell the data, create a competing data product or service using Demeter data, or use data except in compliance with applicable law. 

3.2. Derivate works: Customer may create derivative works internally but may not redistribute them without express permission. 

3.3. Public-facing materials: Where Demeter data is used in public-facing materials, Customer must attribute Demeter clearly as the data source.

4. Ownership

Demeter retains all intellectual property rights in and to the datasets. No ownership rights are transferred to Customer. 

 

5. Data Updates & Withdrawals

Customer's licence includes access to updates for datasets licensed under an active subscription. Demeter reserves the right to modify or withdraw datasets at its discretion.

6. Disclaimers

The datasets are provided "as is" without warranty of any kind. Demeter disclaims all warranties, including accuracy, completeness, or fitness for a particular purpose.

 

7. Limitation of Liability

Demeter's total liability under this Licence is limited to the fees paid by Customer in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, special, incidental, or punitive damages.

 

8. Term and Termination

This Licence is coextensive with the underlying Master Subscription Agreement. Upon termination, Customer must cease using all datasets and destroy any copies retained unless otherwise agreed.

9. Research Credits

9.1. Purchase and Use: Research credits may be purchased in advance and redeemed for access to eligible datasets as determined by Demeter. Credits may be used at any time and are not subject to expiry.

9.2. Redemption Terms: There is no minimum redemption amount beyond the price of the dataset or service being accessed. Research credits cannot be converted into cash, refunded, or otherwise redeemed for monetary value.

9.3: Availability: The availability of datasets and the number of credits required for redemption are determined by Demeter and may be updated from time to time. Access to datasets via research credits is subject to the terms of this Licence.

10. General

This Licence is governed by the laws of England and Wales. The courts of England have exclusive jurisdiction.
